Step by Step process of Private Limited Company Registration

  • The first step to begin The Private Limited Company Registration Process is to search name of the proposed company and once you get the appropriate name, file for “Name reservation” in the next step by filing PART- A of SPICe+ (Simplified Performa for Incorporating a Company Electronically) on MCA.

However, there are some guidelines to be kept in mind before filing for Name Reservation

  • The proposed name should be unique and not same/similar to that of the other company.
  • The proposed name should not be offensive to any section of society.
  • The name should not get an impression of being linked with the government.

Once the name reservation application has been filed with payment of Rs 1000/-, you will receive a Service Request Number (SRN) through which you can track the application for your name reservation.

  • One approval of proposed name you will receive a name approval letter and the name of the proposed company stands reserved for initial period of 20 days, which may further be extended for a period of 60 days on filing application for extension of time period along with payment of additional fees.

  • Form INC-33, E-MOA
  • Form INC-34, E-AOA

Documents to be attached are as follows:

For Members/Subscribers

  1. Self attested copy of PAN Card

It is mandatory for all the members/subscriber to submit copy of their Permanent Account Number which is issued by the Income Tax Department.

It is very important to note that the PAN CARD and all the other documents submitted to the MCA shall be self-attested.

  1. Identity Proof

The members/subscriber are required to submit copy of anyone of the following-

  • Driving License
  • Passport
  • Voter Card

The documents need to be self-attested

  1. Address Proof

Self-Attested copy of anyone of the following Bank Statements/Utility Bills.

(In utility bills you can submit Electricity bill/ GAS bill/ Telephone Bill/Mobile Bill) Please make sure the utility bill must not be older than 2 months from the date of submission to MCA.

  1. Passport Size Photograph

The members/shareholder are required to submit the recent colored passport size photographs.

  1. Details of Qualification and Place of Birth.

Only details of the qualification and place of birth is required, no documents are required to be attached in reference to both.

For Registered Office of the company

Address Proof of the Company/ Place of Business

Anyone of the following Utility Bills (Gas Bill, Telephone Bill, Mobile Bill, Electricity Bill) can be submitted to MCA. It must be self-attested and should not be older than 2 months from the date of submission to MCA.

If in case the Place of business is on Rent or lease

Authorization by the landlord if the property is on rent or lease is required to be submitted stating his/her consent to use the premise as the registered office of the proposed company.

No Objection Certificate

NOC must be submitted by the person whose name is mentioned in the utility bill. Even if the company is on your own property, NOC is mandatory because here both company and owner share separate legal identities.

  • Fee Payment for PAN/TAN and Stamp Duty

The next step in the incorporation process is to apply for PAN and TAN by making the fee payment of Rs 131/- to the department. You also need to pay the stamp duty which is subject to the jurisdiction the company has been incorporated.

  • Certificate of Incorporation

After each successful filing the last step in the company registration process is to get the Certificate of Incorporation (COI). This is probably the last step of the whole procedure where the designated officer will check all the E-forms and the attachments provided by the applicant and if he is satisfied by all the documents shall issue the Certificate of Incorporation.
